Terms and Conditions of the Moje Účtovníctvo Service

Version 0.1 (draft) · 12 October 2026 · Service operator: Digital Orchestra, s.r.o.

Privacy Policy

1. Introductory provisions

1.1 These terms and conditions (the ‘Terms’) govern the rights and obligations in the provision of the Moje Účtovníctvo service (the ‘Service’) between Digital Orchestra, s.r.o., with its registered office at Poľná 19, 900 27 Bernolákovo, Company ID (IČO) 47 341 068, VAT ID (IČ DPH) SK2023868957, registered in the Commercial Register of the Municipal Court Bratislava III, Section: Sro, Insert No. 92008/B, e-mail partner@digital-orchestra.sk, telephone +421 904 464 579 (the ‘Supplier’), and its client (the ‘Client’). The Terms are issued under Section 273 of Act No. 513/1991 Coll., the Commercial Code (the ‘Commercial Code’), and form the content of the contract for the provision of the Service (the ‘Contract’).

1.2 The Supplier provides the Service in its own name and on its own responsibility, on its own servers in the Digitalis data centre in Bratislava. It stores the Client Data, including backups, in Slovakia.

1.3 The Service is intended for entrepreneurs, legal persons and other accounting entities, including accounting firms, and not for consumers [TO BE DECIDED: whether also for accounting entities that are not entrepreneurs, such as civic associations and non-profit organisations]. The Client declares that it is not acting as a consumer; the Contract is governed by the Commercial Code.

2. Definitions

2.1 For the purposes of these Terms:

3. Conclusion of the Contract

3.1 The Client orders the Service by e-mail to partner@digital-orchestra.sk, stating the Product, the Companies for which it orders the Service and whether it will pay monthly or annually. The Supplier confirms the order and sends these Terms to the Client.

3.2 The Contract is concluded [TO BE DECIDED: by the Supplier's confirmation of the order by e-mail, by acceptance of the Terms in the Application or by signing a written contract] for an indefinite period. The Supplier keeps a durable record of its conclusion (time, person acting for the Client, version of the Terms) and sends the Client a confirmation with the text of the Terms.

3.3 The Client provides true identification details (business name, registered office, Company ID (IČO), Tax ID (DIČ) and, if registered for VAT, VAT ID (IČ DPH)) and the details of each Company. The Supplier may verify the identity of the Client and the authority of the person acting on its behalf and request documents for this purpose.

3.4 The Supplier is not obliged to accept every order, in particular where the customer is a consumer, where identity or authority cannot be verified, or where misuse of the Service is suspected. It informs the Client without undue delay if it does not accept an order.

3.5 An Accounting Firm declares that it is authorised to keep the accounts of each Company it enters into the Service and that it fulfils, and is liable for, the obligations under the Terms also in relation to these Companies [TO BE DECIDED: whether the contracting party is the Accounting Firm or each Company].

4. Scope of the Service and Products

4.1 The ‘Business’ Product (one Company in the shared cloud, i.e. on a shared instance of the Application and the database) includes:

4.2 Further Products are ‘Office’ (several Companies in the shared cloud with management of User access per client of the Accounting Firm), ‘Business Premium’ and ‘Office Premium’ (an instance dedicated to the Client in the Supplier's data centre) and ‘Business Server’ and ‘Office Server’ (installation on the Client's premises, on-premise, with a single licence or a multi-licence). Only the Supplier operates the shared cloud. For the ‘Business Premium’ and ‘Office Premium’ Products we are also preparing a separate database for each Company, with backup and restore per Company. Their prices are set out in clause 6.1; details of operating the dedicated instance and of installation on its premises may be set out in a written agreement, which takes precedence over the Terms. For the ‘Business Server’ and ‘Office Server’ Products, the Client is responsible for operation, backups and security [TO BE DECIDED: licence terms for the ‘Business Server’ and ‘Office Server’ Products].

4.3 The Supplier neither keeps nor reviews the Client's accounts. The content of documents, postings, reports and filings, their review before filing and compliance with deadlines are the Client's responsibility; the Application is a tool and does not replace professional judgement. The Client files the filing files itself (for example the VAT return, the VAT control statement or the financial statements in XML), in particular through the portal of the Financial Administration of the Slovak Republic. Retaining accounting records for the statutory period (in particular under Section 35 of Act No. 431/2002 Coll. on Accounting) is the Client's obligation; for this purpose the Client may at any time save a backup of the ledger as a file and outputs in PDF, XML and Excel format.

4.4 eFaktúra is included in the price of the Service; on its own it costs €8 (€9.84 incl. VAT) per month or €88 (€108.24 incl. VAT) per year. Sending and receiving electronic invoices in the Peppol network, including the activation of a Company, are governed by the eFaktúra terms and conditions [TO BE DECIDED: whether eFaktúra is included for every Company with the Service and how it continues after the Contract ends].

4.5 With annual payment, the switch from the Moneta program is included in the price: transfer of the Company's ledgers from the Moneta archives for all years and comparison of the results of the Service with the original program in figures (VAT return, VAT control statement, balance sheet, profit and loss account and open items) [TO BE DECIDED: switching with monthly payment]. The Supplier transfers accounting data from other programs into the Service at the price under clause 6.1.

4.6 The Supplier provides support by e-mail at partner@digital-orchestra.sk and by telephone at +421 904 464 579 on working days from 8:00 to 16:00 [TO BE DECIDED: response times].

4.7 The Supplier makes reasonable efforts to keep the Service continuously available, but does not guarantee its uninterrupted and error-free operation. It announces planned maintenance and the deployment of new releases in advance [TO BE DECIDED: target availability and maintenance window].

4.8 Proportionate use of the Service. The price per Company without limits on Users and documents is based on ordinary use of the Service for keeping the Company's accounts. The extent of use of the Service must be proportionate to its price and purpose. Disproportionate use includes in particular:

4.9 In the event of disproportionate use, the Supplier notifies the Client and proposes a suitable Product or an individual offer. If the Client neither remedies the situation nor accepts the offer within 30 days of the notice, the Supplier may proportionately limit the scope of the Service (for example the number of concurrent requests or the size of attachments) or terminate the Contract. If disproportionate use endangers the operation of the Service, the Supplier may temporarily limit requests even without notice, only to the extent and for the time necessary [TO BE DECIDED: the period and any indicators of ordinary use].

5. Demo and trial period

5.1 The Demo is free of charge. The Supplier sends access to it (user name and password) to the e-mail address entered in the form on the Service's website. The Demo is shared by several prospective clients, so please do not enter personal or real accounting data; whatever you enter may be seen by others. The Supplier may reset, change or end the Demo and delete its data at any time; it may limit the number of access requests.

5.2 The trial period lasts 90 days and is free of charge. At the Client's request sent by e-mail, the Supplier sets up a trial Company of the Client in the Service, in which the Client keeps the accounts alongside its current program (parallel run), with at most 5 Users. The trial Company is protected in the Service in the same way as other Client Data.

5.3 During the parallel run, the Client files from its current program until the results of both programs match. After the trial period, the trial Company becomes the paid Service under Article 6 if the Client orders it under Article 3; otherwise the Supplier deletes it, including the Client Data in it, 30 days after the end of the trial period (backups under clause 7.3).

6. Price and payment terms

6.1 Prices exclude VAT, which is added at the statutory rate (23%); the amount including VAT is given in brackets. The annual price is 80% of twelve times the monthly price. eFaktúra is included except in the ‘Office Server’ Product, where it is optional. The prices are:

6.2 The annual price is invoiced in advance [TO BE DECIDED: start of the annual period and invoice due date]. The monthly price is invoiced after the end of the calendar month and is due 10 days after its end. The price of the ‘Office’ and ‘Office Premium’ Products is set by the number of active Companies in the invoiced period; a Company (Company ID) is active if it has an open ledger in the Service in that period [TO BE DECIDED: Companies added during an annual period]. The set-up fee is invoiced when the Product is set up; the Supplier waives it if the Client commits to the Product for at least 24 months. The licence and installation of the ‘Business Server’ and ‘Office Server’ Products are invoiced on delivery and maintenance annually in advance from the second year; maintenance is mandatory because it includes legislative updates, and renewing it after a lapse is charged with a 50% surcharge. The Supplier delivers invoices electronically, in particular via the Peppol network or by e-mail.

6.3 For each Company (with a different Company ID) that orders the Service on the Client's recommendation, the Client receives one month of the Service per year free of charge for one of its Companies. With annual payment and 11 recommendations in a year, the Service for that Company is free of charge for that year. The benefit cannot be paid out in money or transferred to another person [TO BE DECIDED: when a recommendation counts (for example after the recommended Company has paid its first invoice), the period to which the benefit applies, the procedure with monthly payment and for several Companies of the Client, and exclusion of recommendations between related persons].

6.4 On 1 January each year, prices are adjusted for inflation according to the Harmonised Index of Consumer Prices (HICP) for Slovakia for the previous year; the Supplier publishes the adjusted prices in advance. The Supplier notifies the Client of any other price change by e-mail at least 30 days before it takes effect. If the Client does not agree with a price increase, it may terminate the Contract without penalty as of the day the change takes effect. A price increase does not apply retroactively or to a period paid in advance.

6.5 In the event of late payment, the Supplier is entitled to default interest and to a flat-rate compensation for recovery costs in the statutory amount. After an additional payment period has expired without payment [TO BE DECIDED: its length] and after a separate notice given at least 5 working days in advance, the Supplier may limit the Service to read-only access and export; it does not delete the Client Data because of late payment and allows the Client to take it over.

6.6 Saving a backup of the ledger as a file and exporting the Client Data are free of charge, also after the Contract ends (clause 13.3).

7. Client Data, backups and security

7.1 The Client Data belongs to the Client. The Supplier uses it only to provide the Service under Article 11 and does not use it for any other purpose.

7.2 Every record of the Client Data belongs to a specific Company and Accounting Firm. The database itself (row-level security) gives a User access only to the Companies the User is allowed to access, and the Application works with it with restricted rights, never as the owner of the database. Changes in the accounting ledgers and in the management of Users and access are recorded with the person and the time.

7.3 The Supplier backs up the entire database of the Service every 30 minutes and creates a restore point before and after every change to the structure of the database. It also copies the backups outside the database server and keeps them in Slovakia for at least 10 years; however, after 2 years from the end of the Contract it does not guarantee that backups containing the Client Data will not be deleted earlier. The Supplier restores a state as of a restore point in the event of a failure or error of the Service; restoration at the Client's request [TO BE DECIDED: whether and under what conditions]. The Client may at any time save a backup of a Company's ledger as a file and restore it using a function of the Application.

7.4 The connection to the Application is encrypted (HTTPS). User passwords are stored only as a hash, and a sign-in expires after 2 hours of inactivity.

8. Rights and obligations of the Client

8.1 The Client determines the Users, the Companies they may access and their roles. The Supplier creates, changes and removes Users at the Client's request; the system generates the password of a new User and shows it only once. The Client is responsible for the actions of Users and of persons who use their sign-in details; such actions are deemed actions of the Client.

8.2 The Client undertakes that:

8.3 The Client must not use the Service for unlawful conduct, disrupt its operation or security, circumvent its limits and security mechanisms, upload malicious code into it or make it available to unauthorised persons.

8.4 The Client notifies the Supplier without undue delay of a security incident, loss or misuse of sign-in details and any error of the Service that may affect the results of the accounts.

9. Rights and obligations of the Supplier

9.1 The Supplier provides the Service with professional care. It may develop and change the Application provided that this does not substantially impair its functions; it announces substantial changes in advance and describes them in the release notes in the Help. Before each release is deployed, it verifies the results of the Application with a suite of automated checks.

9.2 The Supplier may suspend or limit the Service in the event of a material breach of the Terms, disproportionate use under clauses 4.8 and 4.9, late payment under clause 6.5, for security reasons or for the time of necessary maintenance, and only to the extent and for the time necessary. It informs the Client of the reason and restores the Service without undue delay once the reason ceases. Unless there is a security risk, it first gives the Client at least 5 working days to remedy the situation.

9.3 The Supplier is liable to the Client for the performance of its subcontractors as if it had performed itself.

10. Liability and compensation for damage

10.1 The Supplier is liable to the Client for the proper provision of the Service and for damage under the legal regulations of the Slovak Republic.

10.2 The Supplier is not liable for the content of the Client's accounts and filings, for penalties imposed on the Client unless caused by a breach of the Supplier's obligations, for damage caused by a breach of obligations of the Client or of persons for whom the Client is responsible, or for damage caused by circumstances excluding liability under Section 374 of the Commercial Code.

10.3 To the extent permitted by the legal regulations of the Slovak Republic, the total compensation for damage provided by the Supplier is limited to [TO BE DECIDED: amount of the cap; proposal – the sum of prices paid by the Client for the 12 months before the damage occurred]. The limitation does not apply to damage caused intentionally or by gross negligence and is not a waiver of the right to compensation in advance.

11. Processing of personal data on behalf of the Client

11.1 This Article is a contract under Article 28(3) of Regulation (EU) 2016/679 (the ‘GDPR’). For personal data in the Client Data (in particular in accounting documents, attachments, partner code lists and reports), the Client is the controller and the Supplier is the processor. Where the Client processes such data as a processor of another controller (for example an Accounting Firm on behalf of Companies), this Article applies accordingly, the Supplier is a sub-processor and the Client is responsible for its instructions being consistent with those of the controller. Processing for which the Supplier is an independent controller is described in the Privacy Policy.

11.2 The subject matter is processing for the purpose of providing the Service, i.e. keeping the Client's accounts in the Application, for the duration of the Contract and after its end under clause 11.8. Processing includes storage, display, editing and calculations, producing ledgers, reports, statements and filings, import and export, backup, restoration and deletion. It concerns identification and contact data (name, address, Company ID, Tax ID, VAT ID), bank details, the content of documents and attachments, data on Users and their activity, and IP addresses. Data subjects are the Client as a natural person, its representatives, employees and contact persons, its business partners and their contact persons, other persons named in documents, and Users. The Client does not enter special categories of personal data into the Service.

11.3 The Supplier processes personal data only on documented instructions from the Client, including with regard to transfers to a third country; the instructions are the Contract and the Client's use of the Service. An exception is processing required by Union or Slovak law; in that case the Supplier informs the Client in advance unless that law prohibits it. If, in the Supplier's opinion, an instruction infringes data protection rules, it informs the Client immediately. It does not use the Client Data for any other purpose, in particular not for marketing, profiling or training machine learning models.

11.4 The Supplier binds the persons authorised to process personal data to confidentiality and takes measures under Article 32 GDPR appropriate to the risk, in particular: encryption in transit (HTTPS), separation of the data of Companies and Accounting Firms in the database (row-level security), access of the Application to the database without the rights of its owner, User roles (administrator, accountant, read-only) and access only to assigned Companies, storage of passwords only as hashes, an inactivity timeout for sign-ins, recording of changes with the person and the time, backups every 30 minutes with restore points and a copy outside the database server, versioning and checking of the database structure, and operation on its own servers in a data centre in Slovakia.

11.5 The Client gives the Supplier general authorisation to engage sub-processors; as of the date of issue of the Terms, they are:

The Supplier operates the servers of the Service itself; the Digitalis data centre provides space, power and connectivity [TO BE VERIFIED: whether the data centre operator has access to the data and the position of a processor].

11.6 The Supplier notifies the Client by e-mail at least 30 days in advance of the engagement or replacement of a sub-processor; the Client may raise a reasoned objection and, if no solution is found, terminate the Contract without penalty as of the date of the change. The Supplier imposes the same data protection obligations on sub-processors and is responsible for their compliance; transfers to third countries are possible only under the conditions of Chapter V GDPR.

11.7 Taking into account the nature of the processing, the Supplier assists the Client in responding to requests from data subjects (Articles 12 to 23 GDPR) and in fulfilling its obligations under Articles 32 to 36 GDPR. It notifies the Client of a personal data breach without undue delay after becoming aware of it, with the information under Article 33(3) GDPR.

11.8 After the end of the Contract, the Supplier, at the Client's choice, returns the personal data (export under clause 13.3) or deletes it including copies, unless legal regulations require its further retention; if the Client does not choose within 90 days, the Supplier deletes the data. Client Data in backups is kept under clause 7.3 and deleted together with the backups.

11.9 The Supplier provides the Client with the information necessary to demonstrate compliance with the obligations under Article 28 GDPR and allows audits, including inspections, carried out by the Client or an auditor mandated by it and bound by confidentiality, as a rule once a year after at least 30 days' notice and at the Client's expense; it may also fulfil this obligation by providing reports or a completed security questionnaire. In matters of personal data protection, this Article takes precedence over the other provisions of the Terms.

12. Confidentiality

12.1 The Client Data is always confidential. The parties keep confidential information obtained in connection with the Service confidential, also after the Contract ends. Disclosure to the extent necessary to provide the Service, to comply with legal obligations or to advisers bound by confidentiality is not a breach of confidentiality.

13. Term and termination of the Contract

13.1 The Contract is concluded for an indefinite period. The Client may terminate it with one month's notice, the Supplier with three months' notice [TO BE DECIDED: length of the notice periods]; the notice period starts on the first day of the month following delivery of the notice. Notice may also be given for individual Companies only.

13.2 A party may withdraw from the Contract if the other party materially breaches it and does not remedy the breach within a reasonable period of at least 5 working days from delivery of a request. The Supplier may withdraw without granting a period if the Client breaches clause 8.3 or provides false identification details.

13.3 After the end of the Contract, the Supplier allows the Client to take over the Client Data free of charge for 90 days, in particular the backup of each Company's ledger as a file and outputs in PDF, XML and Excel format [TO BE DECIDED: read-only and export access during these 90 days]. It then deletes the data under clause 11.8.

13.4 With annual payment, the price for the unused part of the period is not refunded if the Client terminated the Contract without a reason on the Supplier's side. The proportionate part is refunded on termination by the Supplier, on termination due to disagreement with a change to the Terms or the price, and on withdrawal by the Client due to a breach of the Supplier's obligations [TO BE DECIDED: refund of the proportionate part of annual payment].

13.5 The end of the Contract does not extinguish claims to payment of the price and to compensation for damage, the duty of confidentiality or other provisions which by their nature are intended to survive.

14. Changes to the Terms

14.1 The Supplier may change the Terms, in particular when legal regulations change and as the Service develops. It notifies the Client of the change by e-mail and publishes the new version at least 30 days before it takes effect. Changes required by a legal regulation or by a decision of a public authority may take effect earlier; changes solely in the Client's favour take effect on publication.

14.2 If the Client does not agree with a change, it may terminate the Contract with immediate effect and without penalty at any time from the notification of the change until the day the change takes effect at the latest; otherwise the change is deemed accepted. A change does not affect claims that arose before it took effect.

15. Notices and communication

15.1 The parties communicate primarily electronically: the Supplier to the e-mail address that the Client stated in the order or notified later, the Client to partner@digital-orchestra.sk (further contacts are on the Service's website). An e-mail is deemed delivered on the working day following its sending unless another time of delivery is proven. Notice of termination and withdrawal may also be given by e-mail. The Client keeps its contact details up to date.

15.2 Complaints and suggestions may be made by e-mail or by telephone at +421 904 464 579; the Supplier deals with them without undue delay.

16. Governing law and dispute resolution

16.1 The Contract, the Terms and all relationships arising from them, including claims for compensation for damage, are governed exclusively by the laws of the Slovak Republic, in particular the Commercial Code (choice of law under Article 3 of Regulation (EC) No 593/2008, Rome I), excluding conflict-of-law rules.

16.2 Disputes are decided with exclusive jurisdiction by the courts of the Slovak Republic (for a Client established in another Member State of the European Union, this is an agreement under Article 25 of Regulation (EU) No 1215/2012); territorial jurisdiction is governed by the Civil Contentious Procedure Code.

16.3 The Slovak version of the Terms is binding; translations are for information only.

17. Final provisions

17.1 The Terms take effect on [TO BE DECIDED].

17.2 An individual written agreement of the parties takes precedence over the Terms; relationships not governed by them are governed by the Commercial Code. The Client may not assign rights under the Contract without the Supplier's prior written consent. The invalidity of any provision of the Terms does not affect the others; the parties will replace it with a provision closest to its purpose.
